ADT, one of America’s best-known home-security companies, has agreed to be acquired by Thrive Holdings in an all-cash transaction, the companies announced on October 29, 2026. ADT shareholders will receive $10.00 per share in cash. The agreement values ADT’s equity at approximately $7.6 billion and the transaction at $15.3 billion in enterprise value, including debt.

The $10.00 price represents a premium of 45.6 percent to ADT’s unaffected closing share price of $6.87 on October 27, 2026, and 52.1 percent to its 30-day volume-weighted average share price ending on that date. ADT’s board of directors unanimously approved the agreement. Shares jumped about 33 to 34 percent on Thursday to around $9.90, near four-year highs.
Deal terms and timetable
Financing commitments have been provided by funds managed by affiliates of Apollo Global Management, and the agreement carries no financing condition. Closing is expected in the first quarter of 2027, subject to approval by ADT shareholders and US antitrust clearance, along with other customary conditions.
ADT may solicit competing acquisition proposals during a 30-day go-shop period running through November 28, with a possible 10-day extension for certain bidders. On completion, ADT will become a privately held company and its shares will stop trading on the New York Stock Exchange. ADT is also scheduled to report its third-quarter results on November 3.
A second trip into private ownership
The deal is ADT’s second trip into private ownership in a decade. Apollo Global Management took ADT private in 2016, returned it to the public market in 2018, and sold its last shares in May 2026. Apollo now returns in a different role, as the source of the financing commitments behind Thrive’s purchase.

Thrive Holdings is the permanent-capital holding company spun out of Josh Kushner’s venture firm Thrive Capital. Unlike a traditional private-equity fund with a fixed exit deadline, it is designed to own and operate businesses over a long horizon. It counts OpenAI as a partner and investor, and the companies said ADT will form the foundation of Thrive Holdings’ smart-home security business. The companies also said ADT’s longstanding commitment to protecting customer data will be upheld and its data-protection and privacy policies will remain unchanged.
ADT traces its roots to 1874 and serves residential and small-business customers across the United States with security monitoring and smart-home services.
What is not yet known
No rival bid has been reported, and no new AI-powered ADT products were announced alongside the deal. The closing timetable could still shift if shareholder approval or antitrust clearance takes longer than expected, and the go-shop period leaves open the possibility of a competing offer.
